1. Agreement to Terms

By accessing or using Ubenie (the "Service"), operated at www.ubenie.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Ubenie.

2. Description of Service

Ubenie is an AI-powered SEO content generation platform. The Service allows users to:

Research keywords and analyze search engine competition
Generate SEO-optimized blog posts and articles using artificial intelligence
Generate featured images and inline images for articles
Plan and schedule content using a content calendar
Publish content directly to connected platforms (Shopify, WordPress, and custom webhooks)
Import keyword data from Google Search Console
Access free SEO tools (meta description generator, meta title generator, keyword difficulty checker)

The Service relies on third-party AI providers, SEO data providers, and other external services. The availability and quality of AI-generated content may vary and is subject to the capabilities and limitations of these providers.

3. User Accounts

To use the Service, you must create an account. Account authentication is managed by Clerk, a third-party authentication provider. You may sign up with email or through supported social login providers. You are responsible for:

Providing accurate and complete information during registration
Maintaining the security of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access to your account

You must be at least 16 years of age to create an account and use the Service.

4. Credits and Payments

The Service operates on a credit-based system. Credits are used to generate articles, perform keyword research, and access other paid features. New users receive a limited number of free credits.

4.1 Purchasing Credits

Additional credits can be purchased through our payment processor, LemonSqueezy. All prices are displayed at the time of purchase. By completing a purchase, you agree to LemonSqueezy's terms of service and authorize the charge.

4.2 Credit Usage

Credits are consumed when you use paid features of the Service. The number of credits consumed depends on the feature used and the complexity of the request. Credit costs for each action are displayed before you confirm the action.

4.3 No Subscription

Credits are purchased as one-time packages, not as recurring subscriptions. Credits do not expire while your account remains active.

4.4 Refunds

Refunds are provided in accordance with our Refund Policy. Please review that policy for full details on eligibility and the refund process.

5. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
Create intentionally misleading, false, or deceptive content
Infringe upon the intellectual property rights of others
Attempt to gain unauthorized access to our systems, networks, or other users' accounts
Use the Service to send spam or unsolicited communications
Use automated scripts, bots, or scrapers to access the Service without our written permission
Resell, redistribute, or sublicense access to the Service or its outputs without our written consent
Attempt to reverse-engineer, decompile, or disassemble any part of the Service
Use the Service in any manner that could disable, damage, or impair the Service or interfere with other users

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Content Ownership and Rights

6.1 Your Content

You retain all rights to the content you generate using the Service. We do not claim ownership of your generated articles, images, or other content outputs. You are free to use, publish, modify, and distribute your generated content as you see fit.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display your content solely for the purposes of providing and improving the Service. This license terminates when you delete your content or your account.

6.3 Our Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Ubenie and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

7. AI-Generated Content

The Service uses artificial intelligence, including Google Gemini, to generate content. You acknowledge and agree that:

AI-generated content is provided "as is" without guarantees of accuracy, completeness, originality, or suitability for any particular purpose
You are solely responsible for reviewing, editing, and fact-checking all AI-generated content before publishing or using it
AI-generated content may occasionally contain errors, inaccuracies, or inadvertent similarities to existing content
We do not guarantee that AI-generated content will achieve any specific search engine ranking, traffic, or business outcome
The quality and style of AI-generated content may change as AI providers update their models
You are responsible for ensuring that any content you publish complies with applicable laws and regulations

8. Third-Party Integrations

The Service allows you to connect third-party platforms, including Shopify, WordPress, and Google Search Console. When you connect a third-party integration:

You authorize us to access and interact with those platforms on your behalf using the credentials you provide
You are responsible for ensuring you have the right to connect those accounts and publish content to those platforms
We are not responsible for any issues, data loss, or damages arising from the use of third-party integrations
Third-party platforms are governed by their own terms of service and privacy policies
You can disconnect integrations at any time through your project settings

9. Free Tools

We offer certain free SEO tools that are available without an account. These tools are subject to usage limits (such as a maximum number of uses per day per IP address). We reserve the right to modify, limit, or discontinue free tools at any time without notice. Free tools are provided "as is" without any warranties.

10. Service Availability

We strive to provide reliable, continuous access to the Service, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, third-party provider outages, or circumstances beyond our control. We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify users of planned maintenance or significant changes.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements, that the results obtained from using the Service will be accurate or reliable, or that the quality of any content generated will meet your expectations.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Ubenie and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, resulting from:

Your use of or inability to use the Service
Any content generated by the Service, including inaccuracies, errors, or omissions
Unauthorized access to or alteration of your data
Actions of third-party service providers or integrations
Any other matter relating to the Service

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ubenie and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the Service; content you generate, publish, or distribute using the Service; your violation of these Terms; your violation of any applicable law or regulation; or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms. You may terminate your account at any time by deleting it through your account settings.

Upon termination, your right to use the Service ceases immediately. Any unused credits at the time of termination are forfeited unless a refund is owed under our Refund Policy. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) shall survive.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Belgrade, Serbia. Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.

17. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Ubenie regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
